Terms of Use & Purchase Agreement

When you purchase a Muzi episode (99¢), a full Muzi (typically $3.99), or any other content offered on the Service, you are purchasing a personal, limited, non-exclusive, non-transferable, revocable license to stream that content for your own private, non-commercial enjoyment, on devices and through means we make available, for as long as the Service continues to offer the content and your account remains in good standing.

You are not purchasing the content itself. You are not purchasing any ownership rights in the music, lyrics, performances, story, screenplay, video, artwork, characters, trademarks, copyrights, or any other element of the work. Vala and its licensors retain all rights, title, and interest in and to the content, including all intellectual property rights.

Pricing, episode counts, and product offerings (including subscription plans that may be introduced in the future) may change at our discretion. Purchases already completed will be honored according to the terms that applied at the time of purchase.

You may:

• Stream purchased content as often as you like, for personal, private viewing, on devices and through interfaces we make available.
• Tell other people about Muzi, share the Muzi link, post that you watched and enjoyed (or did not) on social media, and link back to the Website.

You may not:

• Download, copy, record, screen-capture, rip, or store the audio, video, or any portion of the content, except through any download or offline-viewing feature we expressly offer.
• Re-broadcast, re-stream, publicly perform, or publicly display the content, in whole or in part, including in any venue, on any social platform (beyond brief, fair-use clips for commentary), or at any commercial or institutional event.
• Sell, license, sublicense, rent, lend, gift, transfer, or share your account, your purchases, or any content with another person or entity.
• Modify, edit, remix, dub, subtitle, translate, reverse engineer, create derivative works from, or otherwise alter the content.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notice.
• Use the content to train, fine-tune, or otherwise build, evaluate, or improve any machine-learning model, artificial intelligence system, or dataset.
• Circumvent, disable, or otherwise interfere with any digital rights management, security, or access-control features of the Service.
• Use the Service for any unlawful purpose or in violation of these Terms.

You must be at least 13 years old to create an account. If you are under 18, you must have written permission from a parent or legal guardian to use the Service and to make purchases. By creating an account on behalf of a minor, the parent or guardian agrees to these Terms on the minor’s behalf and assumes responsibility for all activity on that account.

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at [SUPPORT EMAIL] if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, including for sharing accounts, circumventing security features, or attempting unauthorized copying or redistribution of content.

All purchases are processed in U.S. dollars by our payment processor. By providing payment information, you authorize us (and our processor) to charge the listed price plus applicable taxes.

Because purchased Muzi® content is delivered digitally and made available immediately upon purchase, all sales are final and non-refundable, except where required by applicable consumer-protection law, or where we choose, at our sole discretion, to issue a refund or credit (for example, in the case of a technical failure that prevents you from streaming content you have already paid for).

Episode 1 of every Muzi® is offered free of charge on the Service. Educational materials distributed in partnership with the Johnny Mercer Foundation, including workbooks, teacher guides, and classroom resources, are made available free of charge to students, teachers, and schools.

Free content remains the property of Vala® and its licensors and is licensed to you on the same terms as paid content, except that the per-episode purchase price is waived. Educational materials may carry their own additional usage terms set forth on the Education portion of the Service.

The Service, including all content (Muzi episodes, music, lyrics, scripts, performances, video, audio, artwork, logos), software, design, and the trademarks MUZI®, YUZI™, NUZI™, VALA®, and the “Zi Universe” marks, are owned by Vala Studios LLC or licensed to Vala® by third parties, and are protected by United States and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers any ownership of intellectual property to you. The license granted in Section 1 is the entirety of what you receive.

Muzi® content is created by writers, composers, performers, directors, and editors who participate in our artist profit pool. While we are proud of these contributors and credit them in each Muzi®, the contractual relationships between Vala® and its contributors do not create any rights, obligations, or relationships between contributors and users of the Service. All content on the Service is offered by Vala® under these Terms.

You agree not to:

• Use the Service to harass, threaten, or impersonate any person.
• Submit, upload, or transmit any virus, malware, or harmful code.
• Probe, scan, or test the vulnerability of the Service or its infrastructure.
• Use any automated system (bots, scrapers, crawlers) to access, copy, or extract content from the Service without our express written permission.
• Attempt to gain unauthorized access to any account, system, or network associated with the Service.

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data collection, use, and disclosure practices described in the Privacy Policy.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or by a banner on the Service). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for any conduct that we, in our sole reasonable judgment, believe violates these Terms or is otherwise harmful to other users, Vala, or third parties.

If we terminate your account for cause, you may lose access to content you have purchased and we are not obligated to provide a refund.

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VALA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE AVAILABLE AT ANY PARTICULAR TIME.

TO THE FULLEST EXTENT PERMITTED BY LAW, VALA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VALA IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. In the event of a dispute arising between VALA® and Customer pertaining to these terms in any way, the Superior Court of the State of New Jersey, County of Somerset and the United States District Court for the District of New Jersey venued in Newark, shall have co-exclusive jurisdiction to resolve such dispute. The Customer and VALA® consent to the co-exclusive jurisdiction of such Courts and each waives its respective right to a trial by jury.

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Vala regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms; we may assign them at our discretion.
